According to the complaint, Bit Digital is a holding company that operates in the Bitcoin mining business through its wholly-owned subsidiaries The United States and Hong Kong.

The lesson begins on December 21, 2020 when Bit Digital announced its revised financial results for the third quarter of 2020 in a press release.

On January 11, 2021, J Capital Research (“J Capital”) released a research report claiming, among other things, that Bit Digital is “running a fake cryptocurrency business … designed to steal funds from investors.” Although Bit Digital claims, “it operated 22,869 bitcoin miners in China“J Capital claimed that” just isn’t possible “and stated that”[w]We checked with the local governments that allegedly mine BTBT that there are no Bitcoin miners there. “

After the news, Bit Digital’s share price fell $ 6.27 per share or 25% to close at $ 18.76 per share on January 11, 2021.

The complaint alleges that throughout the class period, defendants failed to advise investors that: (1) Bit Digital overestimated the extent of its Bitcoin mining operation; and (2) as a result of the foregoing, Defendants’ positive statements about the business, operations and prospects of Bit Digital were materially misleading and / or unfounded.
