The lawsuit alleges that on February 22, 2021, a merger agreement was announced between Churchill, a special purpose vehicle for acquisitions, and Lucid, an American auto company specializing in electric cars. The equity value of the transaction was estimated at $ 11.75 billion. Churchill’s share price closed at $ 57.37. It is alleged that Lucid has announced that production of its debut car will be postponed until at least the second half of 2021 with no definitive date set for delivery of an actual vehicle. It is also alleged that Lucid was forecasting production of just 557 vehicles in 2021, instead of the 6,000 it announced prior to announcing the merger.

Interested CCIV investors have until August 30, 2021 to hire a lawyer and apply as lead plaintiff if they are interested. A lead plaintiff is acting on behalf of all other members of the investor group in administering the class action. Investors don’t have to be a lead plaintiff to be a class plaintiff. If investors do nothing, they can remain an absent member of the class. The class is not yet certified. Investors are not represented by a lawyer until they have been certified.
